Castleton Study Club Constitution

ARTICLE I – NAME AND PURPOSE

  • Section 1. The name of this organization shall be Castleton Study Club.
  • Section 2. The purpose of this club shall be to promote the culture and sociability of its members.

ARTICLE II – MEMBERSHIP

  • Section 1. Membership in the club shall be limited to twenty regular members.
  • Section 2. Membership in the club shall be open to all women in the community who are interested in the objectives of this club, and are willing to aid in promoting them by preparing one paper during the year.
  • Section 3. There shall be the following types of members:
    (a) Regular members, who shall pay annual dues.
    (b) Special members, who shall not participate actively in the program of the club for any given year, by virtue of seniority.
    (c) Honorary membership may be conferred upon such persons who have rendered valuable service to the club.
  • Section 4. Duties of regular members shall be as follows:
    (a) Fifteen members shall present papers each year. Five members, to be selected alphabetically on a rotating basis, shall be excused from presenting a paper each year.
    (b) Fifteen members shall entertain the club each year. Five members, other than those excused from papers, also to be selected alphabetically on a rotating basis, shall be excused from entertaining each year.
    (c) In order that every member may contribute at each meeting, a brief comment or its equivalent, to be called Roll Call will be received.
  • Section 5.
    (a) The name of an applicant for membership must be presented to the Recording Secretary, who will in turn present the name to the membership. The name will be tabled for one meeting before a vote may be taken.
    (b) Names of applicants shall be voted upon by secret ballot in the order of application. Two dissenting votes shall exclude an applicant from membership.

ARTICLE III – OFFICERS

  • Section 1. The officers of the club shall be: President, Vice-President, Recording Secretary, Corresponding Secretary, and Treasurer.
  • Section 2. Officers of the club shall serve a term of one year, commencing at the first meeting in September. Officers shall not be eligible to serve more than two consecutive annual terms.

ARTICLE IV – DUTIES AND POWERS OF OFFICERS

  • Section 1. The President shall be the chief executive officer of the club. The President shall preside at all meetings of the club. The President shall appoint the chairmen and members of all standing committees.
  • Section 2. The Vice-President shall perform all duties and exercise all powers of the President in her absence or inability to serve in any of her capacities.
  • Section 3. The Recording Secretary shall keep an accurate record of the proceedings of all meetings of the club. She shall present proposed members’ names to the membership. She shall place one copy of the yearly printed program in the Study Club file, which is kept in the filing cabinet at the Castleton Public Library.
  • Section 4. The Corresponding Secretary shall carry on the general correspondence of the club.
  • Section 5. The Treasurer shall receive all funds of the club. The Treasurer shall pay all bills after those bills have been certified and approved for payment by the membership. The Treasurer shall keep in suitable form detailed accounts of the financial activities of the club. The Treasurer shall render an annual report to the club.

ARTICLE V – COMMITTEES

  • Section 1. There shall be a Program Committee consisting of three members. This committee shall prepare programs; secure places for meetings; suggest subjects for discussion; and assign members a specific date for papers.
  • Section 2. There shall be a Social Committee, consisting of three members. This committee shall be responsible for all social entertainment of the club not specifically prepared by the Program Committee.
  • Section 3. There shall be a Nominating Committee consisting of three members. The Nominating Committee shall prepare a slate of nominees for officers. This committee shall function throughout the year as may be required.
  • Section 4. All committees and chairmen shall be appointed by the President at the last meeting in April.
  • Section 5. Special committees may be created as needed by the Pres.
  • Section 6. Chairmen shall report on committees’ activities at such times as the President may designate.

ARTICLE VI – MEETINGS

  • Section 1. There shall be fifteen regular meetings of the club each year: one in September, two in October and November, one in December, two in January, February, and March, unless Easter occurs in March, the same for April, and two in May.
  • Section 2. Regular meetings shall be held the second and fourth Mondays of the month as specified.
  • Section 3. The Annual Meeting shall be held at the last meeting of May each year for the election of officers, and the receiving of annual reports of officers and standing committees.

ARTICLE VII – FUNDS

  • Section 1. All funds raised through club dues shall be used for regular and special expenses of the club.

ARTICLE VIII – QUORUM

  • Section 1. The quorum for voting at a regular meeting shall consist of seven members in good standing.

ARTICLE IX – REPEAL

  • Section 1. The constitution and by-laws heretofore enacted are hereby repealed.
